The Company operatesa proprietary digital technology platform providing access to internal tradingfunctionalities.

Registration of theCompany in Wyoming does not constitute financial regulation, brokerageauthorization, investment licensing, or governmental supervision of thePlatform’s activities.

2. Definitions

For the purposes ofthis Agreement:

“Company” refers toTRADING TP LLC.

“Platform” refers tothe Trading TP proprietary digital ecosystem and internal infrastructure.

“Client” refers toany registered user of the Platform.

“Internal DigitalInstruments” refers to proprietary, platform-based OTC digital instrumentscreated, issued, and maintained exclusively within the Platform.

“Leverage” refers tomargin-based amplification of internal trading exposure.

“Account” refers tothe Client’s registered profile within the Platform.

3. Legal Nature of the Platform

3.1 TRADING TP LLCoperates strictly as a digital technology service provider offering access to aproprietary internal trading simulation environment.

3.2 The Platform:

  • Is not a public securities exchange

  • Is not a regulated broker-dealer

  • Is not an investment advisor

  • Does not execute trades on external markets

  • Does not provide access to real-world exchanges

  • Does not offer regulated securities, derivatives, or financial instruments

3.3 The Platformoperates as a closed, proprietary internal OTC digital environment.

3.4 No InvestmentRelationship

The relationshipbetween the Client and the Company is strictly contractual andtechnology-based.

Nothing on thePlatform constitutes:

  • An investment contract

  • A fiduciary relationship

  • A managed account

  • A collective investment scheme

4. Instrument Naming & External References Disclaimer

The naming ofinternal digital instruments may resemble publicly known assets for referenceor simulation purposes only.

Such naming does notimply affiliation, sponsorship, endorsement, partnership, or representation ofany real-world company, exchange, trademark holder, or financial institution.

All instrumentsremain proprietary internal digital products existing solely within thePlatform.

5. Restricted Jurisdictions

The Platform doesnot target and is not intended for residents of jurisdictions where suchdigital services require regulatory authorization.

The Company reservesthe right to restrict access at its sole discretion.

6. Eligibility and Account Registration

The Client must:

  • Be at least 18 years old

  • Have full legal capacity

  • Not reside in a restricted jurisdiction

The Company mayrefuse or terminate registration at its sole discretion.

The Client warrantsthat all provided information is accurate and complete.

7. Nature of Internal Digital Instruments (OTC Model)

All instrumentsavailable are proprietary internal digital instruments.

These instruments:

  • Exist exclusively within the Platform

  • Are not externally tradable

  • Are not listed on any public exchange

  • Do not represent ownership in real-world corporations

  • Do not grant shareholder rights, dividends, or voting power

Prices aredetermined through proprietary mechanisms including:

  • Internal supply and demand

  • User participation metrics

  • Internal liquidity conditions

  • Algorithmic valuation systems

  • Internal order-matching engines

Prices maysignificantly differ from similarly named external assets.

Clients acknowledgeparticipation in a closed, self-contained internal digital market.

8. Order Execution Model

All transactionsoccur solely within the Platform’s internal systems.

Execution mayinvolve:

  • Matching engine processing

  • Internal liquidity pools

  • Proprietary dealing mechanisms

Execution speed,spreads, slippage, and price deviations may occur.

The Company does notguarantee best execution relative to any external market.

9. Leverage, Margin & Liquidation

The Platform mayprovide leverage functionality within the internal system.

Leverage amplifiesboth gains and losses.

The Company mayimplement:

  • Initial margin requirements

  • Maintenance margin thresholds

  • Automatic liquidation levels

Positions may beliquidated automatically without prior notice.

The Company bears noliability for losses resulting from margin calls or liquidation.

10. Risk Disclosure

The Clientacknowledges:

  • Internal pricing variability

  • Rapid margin depletion

  • Liquidity constraints

  • System interruptions

No guarantees ofprofit are provided.

11. Client Responsibilities

The Client agreesto:

  • Use legally obtained funds

  • Trade solely for personal account

  • Maintain credential confidentiality

  • Monitor positions independently

The Client bearsfull responsibility for all trading decisions.

12. Prohibition of Third-Party Access & Borrowed Funds

No third-partyaccount access is permitted.

No trading on behalfof others is allowed.

No use of borrowed,pledged, or debt-financed capital is permitted.

The Company mayrequest source-of-funds verification at any time.

Failure to complymay result in account suspension or fund freeze pending compliance review.

13. Monitoring, Compliance & AML

The Company may:

  • Monitor all activity

  • Record IP data

  • Analyze transaction patterns

  • Request identity verification

  • Freeze accounts pending review

Withdrawals may bedelayed during compliance checks.

14. Fees and Commissions

The Platform maycharge:

  • Transaction commissions

  • Spread adjustment

  • Service fees

Fees may be modifiedat any time.

Deposits are non-refundableonce used in trading activity.

15. Suspension and Termination

The Company maysuspend or permanently terminate accounts for:

  • Fraud

  • Market manipulation

  • System abuse

  • AML concerns

  • Policy violations

Decisions are finaland binding.

16. Intellectual Property

All software,branding, algorithms, data, and systems remain the exclusive property ofTRADING TP LLC.

Unauthorizedcopying, reverse engineering, or replication is prohibited.

17. Service Availability

The Platform isprovided “as is”.

Serviceinterruptions, maintenance, or technical failures may occur.

The Company is notliable for losses resulting from downtime.

18. Force Majeure

The Company is notliable for failures caused by:

  • Natural disasters

  • Cyber incidents

  • Government actions

  • Internet disruptions

  • Regulatory changes

19. Indemnification

The Client agrees toindemnify and hold harmless TRADING TP LLC from any claims, liabilities,losses, or legal costs arising from:

  • Misuse of the Platform

  • Violation of laws

  • Breach of these Terms

20. Limitation of Liability

To the maximumextent permitted by law, the Company shall not be liable for:

  • Trading losses

  • Data loss

  • Indirect or consequential damages

  • Loss of opportunity

  • Unrealized profits

21. Arbitration & Class Action Waiver

Any dispute shall beresolved through binding arbitration in the State of Wyoming.

The Client waivesany right to participate in class-action lawsuits.

22. Governing Law

These Terms aregoverned by the laws of the State of Wyoming, United States.

23. Severability

If any provision isdeemed invalid, the remaining provisions remain enforceable.

24. No Waiver

Failure to enforceany provision does not constitute waiver.

25. Electronic Agreement

Electronicacceptance constitutes a legally binding agreement.

26. Final Acknowledgment

By creating anaccount or using the Platform, the Client confirms:

  • Full understanding of the internal OTC nature

  • Awareness of all risks

  • Acceptance of proprietary pricing

  • Full personal responsibility for all trading activity
